1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Manish Singh, operating through Mango Consulting LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of New Jersey.

By accessing our website at manishsingh.info (the "Site"), booking any service, or making a payment, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Services Offered

We provide the following professional services (collectively, "Services"):

• AI Strategy & Consulting — AI readiness assessments, workflow automation, data analytics solutions, custom AI tools, and fractional AI/Data Science leadership.
• Vibe Coding Sessions — 1:1 live coding sessions, multi-session packs, and full product builds.
• Audits — Product audits, security audits, and SEO audits.
• Executive Consultation — 1:1 strategic sessions for decision-makers.

Service descriptions, deliverables, and pricing are outlined on the Site and may be further specified in a written proposal or scope of work provided before engagement.

3. Booking & Scheduling

Sessions are booked through our Site using our integrated scheduling system (powered by Cal.com). By booking a session, you agree to:

• Provide accurate information during the booking process.
• Attend the session at the scheduled time via the designated platform (typically Google Meet).
• Notify us at least 24 hours in advance if you need to reschedule or cancel.

4. Payment Terms

All payments for Services are collected through Mango Consulting LLC using Stripe as our secure payment processor.

• Prices are listed in U.S. Dollars (USD) and are subject to change with notice.
• Payment is due at the time of booking unless otherwise agreed in writing.
• For multi-session packs and larger engagements, payment schedules may be outlined in a separate proposal.
• All payments are processed in accordance with PCI-DSS standards via Stripe's secure infrastructure.
• You are responsible for any applicable taxes in your jurisdiction.

5. Refund Policy

We want you to be fully satisfied with our Services. Our refund policy is as follows:

• Vibe Coding Sessions — If you are not satisfied within the first 15 minutes of your first session, you are entitled to a full refund, no questions asked.
• Session Packs — Unused sessions from multi-session packs may be refunded on a pro-rata basis if requested within 60 days of purchase.
• Consulting Engagements — Refunds for consulting projects are evaluated on a case-by-case basis based on work completed and deliverables provided.
• Audits — Once an audit has been delivered, no refund is available. If the audit has not yet begun, a full refund will be issued upon request.
• No-Shows — Failure to attend a booked session without 24-hour advance notice will be treated as a completed session, and no refund will be issued.

All refund requests should be directed to us via the contact information below. Refunds, when approved, will be processed through Stripe to the original payment method within 5–10 business days.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, blog posts, code examples, and design elements — is the intellectual property of Manish Singh / Mango Consulting LLC and is protected by applicable copyright and trademark laws.

• Client Work — Code, deliverables, and materials created specifically for you during a paid engagement belong to you upon full payment, unless otherwise specified in a separate agreement.
• Pre-Existing IP — Any tools, frameworks, libraries, or methods created by us prior to or independent of your engagement remain our intellectual property.
• Site Content — You may not copy, reproduce, distribute, or create derivative works from our Site content without prior written consent.

7. Confidentiality

We treat all client information, project details, code, and business data shared during sessions and engagements as confidential. We will not disclose your confidential information to any third party without your prior written consent, except as required by law.

8. Client Responsibilities

By using our Services, you agree to:

• Provide accurate and truthful information.
• Come prepared with relevant project details, credentials (if applicable), and questions for your session.
• Ensure you have legal rights to any code, content, or data you share with us.
• Not use our Services for any unlawful, harmful, or fraudulent purpose.
• Not attempt to reverse-engineer, decompile, or misappropriate our proprietary tools or methods.

9. Limitation of Liability

To the fullest extent permitted by law:

• Our Services are provided "as is" and "as available." We make no warranties, express or implied, regarding the results or outcomes of any consulting, vibe coding, or audit engagement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our Services.
• Our total aggregate liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.
• We are not responsible for any losses resulting from the use of AI-generated code, third-party integrations, or deployment decisions made by you outside of our sessions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Manish Singh, Mango Consulting LLC, and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Site and Services at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may cancel any ongoing engagement by providing written notice, subject to any applicable refund terms.

12. Dispute Resolution

Any disputes arising from or relating to these Terms or our Services shall be resolved as follows:

• Good Faith Negotiation — The parties shall first attempt to resolve any dispute through good-faith negotiations for a period of thirty (30) days.
• Mediation — If negotiation fails, the dispute shall be submitted to mediation administered by a mutually agreed-upon mediator in the State of New Jersey.
• Litigation — If mediation is unsuccessful, either party may pursue legal remedies in the state or federal courts located in the State of New Jersey.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in New Jersey.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mango Consulting LLC with respect to the subject matter herein and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.
